Score vendor responses with evidence
For each clause, require explicit conform or documented exception, reference to a technical control or exhibit diagram, and named subprocessors where relevant. Narrative marketing attachments do not score.
Soft language—“vendor will maintain reasonable security”—fails industrial buying because it cannot be tested. Enforceable language ties obligations to exhibits, annual proof, and defined scopes. Soft claims that “customer data is protected” fail unless tied to concrete exclusions for training traffic. “Private cloud available” fails unless production inference is constrained to the named region, tenant, and admin model you expect.
Walk away when the vendor refuses training exclusions for your highest data classes, or when subprocessors can change overnight without a remedy period you can enforce.
